Terms of use

This is the current published version (version 3, last updated 19 August 2026). Every user accepts these terms before using the platform, and we record who accepted which version and when. When they change materially, you are asked to accept the new version.

FranchiseMS — Terms of Use

1. Acceptance

By accessing or using the FranchiseMS platform ("the Platform") you agree to these Terms of Use. If you do not agree, you must not use the Platform.

2. The service

FranchiseMS provides franchise-management software to franchisor networks, their franchisees and their staff. Access is provided on the basis agreed between you (or your franchisor) and the Platform operator.

3. Fees and charges

  • Card payments. When a franchisee takes a customer card payment through the Platform, a platform fee of 0.29% of the transaction is applied and deducted at the point of payment. The end customer pays the price they were quoted; the fee is taken from the franchisee's proceeds.
  • Subscription. Head-office / network subscription fees (if any) are as agreed in your commercial agreement.
  • Usage charges. Additional usage-based charges apply for messages (text and, where enabled, email) sent through the Platform, purchased as prepaid credits under section 4. Current rates are shown in-app and may change on notice; a rate change never affects credits you have already bought.

4. Message credits

  • Credits are bought in advance, in bundles, at the prices shown in-app at the time of purchase. One standard text message uses one credit; longer messages use more, as shown before sending where applicable.
  • Credits are not refundable and have no cash value. They cannot be exchanged for money, transferred to another business, or used for anything other than sending messages through the Platform.
  • If a message fails to send or is confirmed undelivered, its credit is returned to your balance automatically. You only ever use credits for messages that were actually delivered or accepted for delivery by the carrier.
  • Credits expire 12 months after purchase, oldest first. Your current balance and usage are always visible in-app.
  • Credits do not guarantee carrier delivery to any particular handset; carriers may block or delay messages outside the Platform's control.

5. Electronic signatures

The Platform lets documents be prepared, sent and signed electronically. By signing a document through the Platform you agree that your electronic signature has the same effect as a handwritten one, and that the sealed document and its signing record (names, times, network addresses and content fingerprint) form the record of execution. It remains your responsibility to ensure a document's content is what you intend before signing; the Platform provides the signing process, not legal advice.

6. Deposits

Where a document (such as a letter of intent) provides for a deposit, the deposit is paid to, held by and refundable by the franchisor on the terms stated in that document. The Platform records deposit status but does not hold deposit money.

7. Acceptable use

You will use the Platform lawfully; keep your login secure; not attempt to access data belonging to another network or unit; not send unlawful, deceptive or unsolicited marketing messages through the messaging features; and not copy, scrape or resell the Platform or its data.

8. Customer data

Where you enter your own customers' details, you are responsible for having a lawful basis to do so. The Platform processes that data to provide the service. See the separate Privacy Notice.

9. Availability and liability

The Platform is provided on a reasonable-efforts basis. To the extent permitted by law, the operator is not liable for indirect or consequential loss, and the operator's total liability arising from the Platform in any 12-month period is limited to the fees you paid for the Platform in that period. Nothing in these terms limits liability that cannot lawfully be limited.

10. Suspension and ending access

The operator may suspend or end access for serious or repeated breach of these terms, for non-payment, or where required by law, and will act proportionately and restore access when the cause is resolved. On the end of a network's agreement, its data is exportable on request for a reasonable period before deletion.

11. Changes to these terms

These terms may be updated from time to time. When they change you will be asked to accept the new version before continuing to use the Platform.

12. Governing law

These terms are governed by the laws of England and Wales.
